1. Agreement to Terms
These Terms of Service ("Terms") govern your use of Copivia (the "Application"), a Windows desktop application developed and owned by Anniston Kruger ("we," "us," "our"). By installing or using the Application, you agree to be bound by these Terms. If you do not agree, do not install or use the Application.
The Application is currently distributed as an invite-only beta to a small group of friends and family. These Terms are written for that beta context and will be revised as the Application matures toward a broader or commercial release.
2. License to Use the Software
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Application on devices you own or control, for your personal, non-commercial use.
You may not:
- Redistribute, sell, sublicense, rent, or lease the Application to any third party.
- Reverse engineer, decompile, or disassemble the Application, except to the extent such restriction is prohibited by applicable law.
- Remove or alter any proprietary notices contained in the Application.
- Use the Application for any unlawful purpose or in violation of any applicable financial regulations.
This license may be revoked at any time if you violate these Terms.
3. Beta Software Disclaimer
Copivia is currently beta software. By using it, you understand and accept that:
- The Application may contain bugs, errors, or incomplete features.
- Features, data structures, and the local database schema may change between versions, and such changes could require you to reset or migrate locally stored data.
- Availability of support is limited and provided on a best-effort basis.
- The Application may be discontinued, substantially changed, or restarted from scratch at any time during the beta period without notice.
- You are participating in this beta voluntarily and are encouraged to maintain your own backups of any important data.
4. No Financial or Investment Advice
Copivia is a personal finance tracking and organization tool. Nothing in the Application constitutes financial, investment, tax, accounting, or legal advice.
- Net worth calculations, budget projections, debt payoff timelines, and any other insights or "AI Insights" generated by the Application are provided for informational and organizational purposes only.
- You should not rely on the Application as the sole basis for any financial decision. Consult a qualified, licensed professional before making financial or investment decisions.
- We are not a registered investment advisor, broker-dealer, accountant, or financial planning firm.
5. Accuracy Disclaimer
The Application displays data synced from third parties (currently Plaid) as well as data you enter manually. We make no guarantee regarding the accuracy, completeness, or timeliness of this data, because:
- Data provided by Plaid depends on the accuracy and availability of your financial institution's own systems, which we do not control.
- Manually entered data is only as accurate as what you provide.
- Calculated figures (such as net worth or daily spend) are derived from the above and may not reflect your true, real-time financial position.
You are responsible for independently verifying any figures displayed in the Application against your official account statements before relying on them.
6. User Responsibilities
You are responsible for:
- Maintaining the security of the device on which the Application is installed, including using appropriate operating system security features (login passwords, disk encryption, up-to-date antivirus, etc.).
- Safeguarding any credentials used to authenticate with your financial institutions or with Plaid; we never ask for or store your banking passwords.
- Keeping the Application updated to the latest version made available to you during the beta.
- Reviewing linked account data periodically and reporting discrepancies to your financial institution directly.
- Complying with all applicable laws in your use of the Application.
7. Third-Party Services
The Application integrates with third-party services, including Plaid (for connecting financial accounts) and, in the future, Stripe (for subscription billing). Your use of those integrations is also subject to the respective third party's own terms of service:

- Stripe Services Agreement (applicable once Stripe-based subscriptions launch)
We are not responsible for the availability, accuracy, or performance of these third-party services.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Application is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Application will be uninterrupted, error-free, or secure, or that any defects will be corrected.
- In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of financial opportunity, arising out of or related to your use of, or inability to use, the Application, even if we have been advised of the possibility of such damages.
- To the extent any liability cannot be excluded under applicable law, our total aggregate liability arising out of or related to these Terms or the Application will not exceed the amount you paid us for the Application in the twelve (12) months preceding the claim (which, during the current free beta, is zero).
Nothing in these Terms is intended to limit liability in ways not permitted by applicable law.
9. Intellectual Property
The Application, including its source code, design, branding, name, and logo, is the intellectual property of Anniston Kruger, except for open-source components and third-party libraries used under their own licenses. All rights not expressly granted to you under these Terms are reserved.
Data you enter into the Application, and data synced to your device via your own Plaid connections, remains yours. We do not claim ownership over your financial data.
10. Termination
We may suspend or terminate your access to the Application (for example, by ending your participation in the beta program) at any time, with or without cause, with or without notice. You may stop using the Application and uninstall it at any time.
Upon termination:
- Your license to use the Application ends immediately.
- Locally stored data on your device is not automatically deleted by us, since we have no remote access to your device; you remain responsible for deleting it yourself if desired (see our Data Retention & Deletion Policy).
- Sections of these Terms that by their nature should survive termination (including Sections 4, 5, 8, 9, and 11) will survive.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the state in which the developer resides, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Application will be subject to the exclusive jurisdiction of the courts located in that state, unless otherwise required by applicable law.
12. Future Paid Subscriptions
Copivia is currently provided free of charge during the beta period. We plan to introduce an optional paid subscription tier in the future, processed through Stripe, which may unlock additional features. When paid subscriptions become available:
- Pricing, billing frequency, and included features will be clearly disclosed before you subscribe.
- Payment processing will be handled entirely by Stripe; we will not directly collect or store your payment card details.
- A separate or updated section of these Terms (and our Privacy Policy) will describe cancellation, refund, and billing dispute procedures.
- Continued use of any free features will not be conditioned on subscribing, unless explicitly stated at the time a paid tier is introduced.
This section will be superseded by more detailed subscription terms once that feature is released.
13. Changes to These Terms
We may revise these Terms from time to time as the Application evolves. We will update the "Last updated" date when changes are made. Material changes will be communicated to beta users on a best-effort basis. Continued use of the Application after changes take effect constitutes acceptance of the revised Terms.
